20. September 2021The trans-o-flex Express GmbH, which is expected to be converted into a partnership limited by shares under the name trans-o-flex Express GmbH & Co. KGaA (the “Company”), is preparing for an initial public offering (“IPO”) and the listing of its shares on the regulated market of the Frankfurt Stock Exchange (Prime Standard). The IPO is planned for the fourth quarter of this year.
(Weinheim) The trans-o-flex Express GmbH plans to complete the offering in Q4 2021, depending on market conditions. The offering is expected to include newly issued bearer shares without par value from a capital increase against cash contributions, existing bearer shares without par value from current shareholders, as well as bearer shares without par value in connection with possible over-allotments (the “Offering”), which are covered by an over-allotment option (Greenshoe) from existing shareholders. The Offering includes a public offering of shares in Germany as well as private placements of shares in certain jurisdictions outside Germany.
